Subscription Terms

The terms on which an organisation subscribes to Elumio, and what happens to a subscription when it changes or stops.

1. These terms, and who they are with

These terms are between Elumio, a software business operated from the Philippines ("we", "us", "our") and the organisation that subscribes to Elumio ("you"). They cover the commercial relationship only: what you are charged, what you get for it, and how either of us ends it.

They are separate from the Training Terms and Conditions, which are between us and each individual who is invited into your training portal. Your trainees agree to those; you agree to these.

2. Who sells you the subscription

Your subscription is sold by Paddle.com Market Ltd, not by us. Paddle is our merchant of record, which means that for the purpose of the sale Paddle is the seller. In practice:

  • Paddle determines, collects and remits any sales tax or VAT due on your purchase, according to where you are.
  • Paddle issues the receipt or invoice for your payment. That document, not anything produced by us, is the record of the sale.
  • Paddle appears on your card or bank statement, so the name beside the charge will not be ours.
  • Paddle decides refunds and handles payment disputes, applying our Refund Policy.

Paddle's own buyer terms apply to the sale alongside these. We remain responsible for the service itself — for providing Elumio, for your data, and for everything described in the rest of this document.

3. Subscriptions are for businesses

Elumio is sold to organisations for training their workforce. By subscribing you confirm that you are doing so in the course of a business, trade or profession, and not as a consumer.

This matters because consumer cancellation rights — including statutory cooling-off periods — do not apply to business purchases. Our Refund Policy gives you a fourteen-day window on a first payment regardless, but it is given by us rather than owed to you by law.

4. Prices, tax and billing

  • Prices are in US dollars and are charged monthly in advance. The plan you choose, and what it includes, is shown on the pricing page and in your billing screen.
  • Prices exclude tax. Any sales tax or VAT is added by Paddle at checkout based on where you are, and the total you will be charged is shown to you before you confirm.
  • Your subscription renews automatically each month, at the price then in effect, until you cancel it.
  • We may change our prices. A change will not affect a period you have already paid for, and we will tell you before it applies to a renewal.

5. Changing plan

You can move between plans that are available to buy online, from your billing screen.

Moving up

An upgrade takes effect immediately. Paddle charges the difference for the remainder of your current period, and the higher limits are available at once.

Moving down

A downgrade takes effect at the end of the period you have already paid for. Nothing is charged and nothing is refunded when you ask for it: you keep the plan you paid for until that period runs out, and the lower price applies from the period after. Your billing screen shows the date the change takes effect.

Some plans are not sold online. Those are arranged with us directly and are not part of this self-service process.

6. Cancelling

You can cancel at any time from your billing screen. Cancelling takes effect at the end of the period you have already paid for — not immediately — and you can undo it at any point before then.

Nothing is deleted when you cancel. Every course, trainee, video and certificate remains, and everyone already enrolled keeps working. What changes is that your organisation returns to the free plan's limits, so you will not be able to add new courses, enrol new trainees, upload new video or use the AI features until you subscribe again.

Certificates already issued stay valid and stay publicly verifiable after you cancel. A certificate records that somebody completed training; it does not depend on whether their employer is still paying us.

7. Plan limits

Each plan includes a stated allowance — courses, trainees, video storage, video watched per month, trainer seats and AI credits. Your billing screen shows what you have used against what you are allowed, and the figures there are the same ones the service enforces.

When you reach a limit, we stop you adding more; we do not take away what you have. Existing courses keep running, enrolled trainees keep watching, and assessments and certificates continue to work. You can upgrade, or wait for the next monthly period, whichever suits.

8. If a payment fails

Payment providers decline charges for ordinary reasons — an expired card, a bank check, a limit. If a renewal fails, your service continues while Paddle retries, and we will contact you so it can be put right.

If the retries are exhausted without a successful payment, the subscription lapses and your organisation returns to the free plan's limits, exactly as described in section 6. Nothing is deleted at that point either.

9. Your data and your trainees

How we handle personal data is set out in our Privacy Notice. In summary, the content you upload and the records of your trainees' progress are yours. We hold them to provide the service.

You are responsible for having a proper basis to enrol the people you enrol, and for the material you upload — that you are entitled to use it, and that it is lawful.

10. Suspending or ending an account

We may suspend or end a subscription if it is used unlawfully, if the material uploaded infringes somebody else's rights, or if the service is used in a way that damages it for other customers. Where circumstances allow it, we will tell you first and give you a chance to put it right.

If we end a subscription for one of those reasons, we will refund any period you have paid for and not yet used, unless the reason for ending it was unlawful use.

11. The service itself

We work to keep Elumio available and working, but we do not promise it will be uninterrupted or error-free, and we do not offer a service-level guarantee on the plans sold online.

Video playback depends on the trainee's own device and connection, which we do not control.

12. Liability

This section limits what we can be made to pay if something goes wrong. It is written on the basis that you are subscribing as a business (section 3), and it is the ordinary allocation of risk for a service at this price.

  • Our total liability to you, for everything arising out of these terms taken together, is limited to the amount you paid us in the twelve months before the claim arose.
  • We are not liable for indirect or consequential loss, or for lost profits, lost revenue, lost business, lost goodwill, or the cost of obtaining a replacement service.
  • We are not liable for loss caused by something outside our reasonable control, including the failure of a third-party service the platform depends on.

None of that applies to fraud, to fraudulent misrepresentation, or to anything else that the law does not allow us to limit or exclude. Where a court finds any part of this section cannot be enforced, the rest of it still stands.

13. Changes to these terms

We may update these terms. If a change materially affects you, we will tell you before it takes effect on a renewal. The version and date of the document you are reading are shown at the top of this page.

14. Governing law

These terms are governed by the laws of the Republic of the Philippines, and the courts of the Philippines have exclusive jurisdiction.
